Terms of Use & End User License Agreement

This End User License Agreement ("Agreement") is a binding agreement between you ("User") and M4 Dynamic, LLC ("M4 Dynamic," "we," or "us") governing your access to and use of M4 Iskra, a proprietary enterprise platform available at app.m4dynamic.com (the "Platform"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.

1. Authorized Use Only

The Platform is a private, invitation-only system intended exclusively for M4 Dynamic employees, contractors, and authorized business partners. Access is granted solely to identified, authenticated users for legitimate M4 Dynamic business purposes. You may not access or use the Platform unless M4 Dynamic has expressly authorized you to do so, and you may not share, transfer, or allow others to use your credentials.

2. License Grant

Subject to your compliance with this Agreement, M4 Dynamic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for authorized internal business operations. This license terminates automatically when your authorization ends or this Agreement is terminated.

3. Restrictions

• You may not copy, modify, distribute, sell, sublicense, lease, or redistribute the Platform or any portion of it
• You may not reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the Platform, except to the extent such restriction is prohibited by applicable law
• You may not circumvent, disable, or interfere with security, access-control, or authentication features
• You may not use the Platform to store or transmit unlawful, infringing, or malicious content
• You may not use automated means to access the Platform except as expressly authorized

4. Intellectual Property

The Platform, including all software, code, designs, text, data structures, workflows, and other content (excluding User business data), is the exclusive property of M4 Dynamic, LLC and is protected by intellectual property laws. All rights, title, and interest in and to the Platform remain with M4 Dynamic. No rights are granted to you except the limited license expressly set forth in this Agreement. "M4 Iskra," "M4 Dynamic," and associated logos are marks of M4 Dynamic, LLC.

5. Data and Integrations

Your use of the Platform, including connected third-party integrations such as Google and Intuit QuickBooks Online, is also governed by our Privacy Policy. You are responsible for ensuring you have the right to connect any third-party account and to process the data accessed through it.

6. No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. M4 Dynamic does not warrant that the Platform will be uninterrupted, error-free, secure, or that defects will be corrected.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M4 DYNAMIC, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. M4 Dynamic's total aggregate liability arising out of or relating to this Agreement shall not exceed one hundred U.S. dollars (US $100).

8. Termination

M4 Dynamic may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your license ends and you must cease all use of the Platform. Sections concerning Intellectual Property, No Warranty, Limitation of Liability, and Governing Law survive termination.

9. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Utah County, Utah for any dispute arising out of or relating to this Agreement or the Platform.

10. Changes to This Agreement

We may update this Agreement as the Platform evolves. We will notify authorized users of material changes via the Platform or email. Continued use after changes take effect constitutes acceptance of the updated Agreement.
